For-Profit
The firm provides services for the organization, capitalization and management of small and start-up business ventures, including corporations, limited liability companies and partnerships. This covers the choice of entity type (LLC, “S” corporation?), the formation and dissolution of entities, structuring ownership including employee stock plans, stock options and use of advisory boards, the negotiation and closing of venture capital investments, sale of businesses including tax-advantaged, qualified business re-organizations, corporate mergers, and relocation of corporations to New York. It also includes the formation of professional corporations or professional limited liability companies such as medical practices. The firm also advises on contract negotiation and drafting, software licensing, and professional service contracts.
Not-for-Profit
We advise on the formation, organization, and management of not-for-profit corporations, including qualifying them, where appropriate, for tax-exempt status under the Internal Revenue Code (501)(c)(3).
With respect to both for-profit and not-for-profit organizations, the firm supports clients on personnel issues including employee manuals, hiring and firing. Where necessary we appear and represent our clients in matters before the human rights commission, or respecting unemployment insurance or workers’ compensation coverage, and in litigation or arbitration claims for breach of non-competition or non-solicitation clauses.
